Estate Shelf Consignment Agreement Version: consignor-v2.0 DRAFT for legal review, not final. PLAIN-LANGUAGE SUMMARY - Our total fee is about 25% of each item's sale price. Fee option PENDING: John has not chosen Option A or B yet. Shown: Option A (29% of the amount after marketplace fees, about 25% of the sale price). - Example (Option A): a $100 item sells, eBay keeps about $14.00, we keep $24.94, the estate gets $61.06. - We keep the part of the buyer's shipping charge that is above actual postage and packing. This is separate from the 25%. - One estate shelf is stored free for 180 days. After that, an extra 10% applies or you choose relist, pickup, return (at your cost) or donate. - Before anything goes live we send an approval notice by email and text. If you don't reply "hold" or "change" within 48 hours, those items may be listed or auctioned. - Nothing is listed until staff verify your authority (owner, court-appointed executor, or written executor permission). - Heirs you invite can say Want, Pass or Sell on each item. Their picks are requests that you, the executor, approve. Disputed items freeze until you resolve them. - We pay you after the sale, minus a holdback for returns and claims (timing to be set). You get a copy of this agreement by email. FULL TERMS 1. Who you are and your authority. You promise you own the items, or are the court-appointed executor or personal representative of the estate that owns them, or have that person's written permission, which you upload. You promise the items are not stolen, borrowed or subject to anyone else's claim. You will reimburse us for losses caused by a false statement. 2. Verification. We will not label, list, or send any item to auction until staff have reviewed and verified your authority document. 3. Fees [PENDING Option A/B]. Option A (shown by default): 29% of the sale price after marketplace fees, about 25% of the sale price; examples: $40 item, we keep $9.91 and you get $24.25; $100 item, we keep $24.94 and you get $61.06. Option B (alternative under review): 24% with verified photos or 27% without, plus a time-based per-item surcharge. The final option will be stated here before launch; fees on items already listed will not change without your agreement. 4. Shipping margin. Buyers pay a shipping charge. We keep any amount above actual postage and packing materials. This is in addition to the fee above. 5. Approval notice and go-live. Before we list your items we send an approval notice by email and text to the contact you designate. If you do not reply "hold" or "change" within 48 hours of our sending it, you agree we may list or auction those items at the prices and formats shown. You may stop any item before it sells. 6. Heir participation. You may invite heirs. Heir choices are preferences, not transfers. You approve picks using a rotating draft or a points method. An item wanted by two or more heirs is frozen and cannot be sold until you resolve it. Every choice, approval and acceptance is logged with a timestamp. 7. Storage, unsold items, abandonment and lien. Storage of one estate shelf is included for 180 days. After an item has not sold for 180 days we give 30 days' written notice to choose relist (extra 10%), pickup, return at your cost, or donation. If you do not respond within 30 days after a second notice, the item is considered abandoned and you authorize us to sell, lot, donate or dispose of it and keep from the proceeds any fees you owe. You grant us a lien on items and proceeds for unpaid fees [VERIFY state law]. 8. Holds and claims. If anyone claims an item we may stop the sale and hold the item and any proceeds until the claim is resolved. 9. Liability. We use reasonable care. Except for our fraud, gross negligence or willful misconduct, or where the law does not allow it, our liability for an item is limited to its sale price or, if unsold, its value agreed at intake. 10. Electronic records and texts. You agree to sign and receive this agreement, notices and records electronically, including by text message. You may request a paper copy or withdraw consent at [contact], which may end the service. 11. Governing law and disputes [PLACEHOLDER]. [State] law applies except where the law of the estate's state requires otherwise. Venue / arbitration and any class-action waiver: TO BE DECIDED WITH COUNSEL. 12. Changes. We will email you at least 30 days before a material change. You must accept the new version before more items are listed. Changes do not alter fees on items already listed without your agreement. 13. Capacity. You are at least 18 and legally able to enter this agreement.
